1. Acceptance of Terms

By accessing the Exemplar Assistants PH website or engaging our services, you agree to be bound by these Terms and Conditions. These terms apply to all visitors, clients, and applicants who interact with our platform.

2. Service Descriptions

Exemplar Assistants PH provides two primary service models; Exemplar Select and Exemplar 360.

Exemplar Select A recruitment and placement service where the client maintains direct management of the Assistant.

Exemplar 360 A fully managed service where Exemplar handles HR, payroll, and operational oversight.

3. Intellectual Property

The content, logos, "Exemplar Hunt" methodology, and "Business Blueprint" frameworks are the exclusive property of Exemplar Assistants PH. You may not reproduce, distribute, or create derivative works from our proprietary materials without express written consent.

4. Client Obligations

To ensure a successful partnership, clients agree to provide accurate information during the Business Blueprint phase.

Accuracy The quality of our talent match depends on the honesty and detail provided in your requirements.

Professional Conduct Clients are expected to maintain a professional working environment for all Exemplar-sourced talent.

5. Payment Terms and Service Interruption

Specific payment terms are outlined in individual service agreements; however, general website and initial deposit terms are as follows.

Commitment Deposits For Exemplar Select, the sourcing process begins only after the initial deposit is settled.

Strict Payment Deadlines Invoices for ongoing services must be paid within the agreed-upon grace period.

Hard Stop Protocol As outlined in our Managed Service Agreement, a 2-day delay in payment is the maximum allowable limit. On the 3rd day of non-payment, service will be paused immediately to protect the Assistant's compensation.

6. Anti-Solicitation and Circumvention

Our value lies in our proprietary vetting and talent network. Clients agree not to hire or contract any candidate introduced by Exemplar outside of our established agreements for a period of 12 months following the introduction. Violation of this clause results in immediate placement penalties as defined in our Master Service Agreement.

7. Disclaimer of Warranties

While we utilize a rigorous 6-point vetting process, Exemplar Assistants PH provides talent "as is." We do not guarantee specific business outcomes or revenue increases resulting from the placement of an Assistant.

8. Limitation of Liability

Exemplar Assistants PH shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our services or the performance of any Assistant. Our total liability is limited to the amount paid for the specific service in question.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Philippines. Any disputes arising from these terms shall be resolved in the appropriate courts within that jurisdiction.
